PPC Advertising Terms

These terms may be subject to change and should you continue to accept them it shall be the assumption of Mut-Con that you agree with the terms.



1. Pricing

All pricing for Mut-Con PPC advertising projects will be discussed prior to any contract but will be generally held at R3 500.00 for accounts with ad budgets of R35 000.00 or less and 10% of the ad budget for accounts with an ad budget above that for Google Ads and Bing Ads. For social media ads, the cost shall be R2 500.00 for accounts with ad budgets of R25 000.00 or less and 10% of the ad budget for accounts with ad budgets of more for social media ads. All prices may be subject to revision upwards or downwards from what results from this formula based on dialogue with Mut-Con. All costs exclude the ad spend, which remains the responsibility of the client. Mut-Con does not perform PPC PPC advertising on a commission basis.

 

Definition Of Terms

Unless otherwise discussed with Mut-Con, the following terms shall be defined as follows;

 

Google Ads

Google Ads is an online advertising platform developed by Google, where advertisers can create and display ads on Google’s network of websites, including search results pages, YouTube, and other partner sites. 

 

Microsoft Ads

Bing Ads is an online advertising platform developed by Microsoft, where advertisers can create and display ads on Microsoft’s network of websites, including search results pages, Yahoo, and other partner sites. 

 

Social Media Ads

Social media ads refer to paid ads created for the engagement of the business’s target audience on various social media platforms. Social Media ads are different and separate from social media organic posting and management. Unless previously discussed with Mut-Con, social media ad packages are exclusive of organic social media management.

 

Delivery of Service

Mut-Con PPC advertising services are comprehensive and unless expressly desired by the client and communicated to Mut-Con, every PPC advertising campaign shall be assumed to contain all the elements of a successful digital campaign.

 

Elements of Digital Campaigns

Unless discussed otherwise with the client, Mut-Con’s PPC advertising services shall include, where necessary, campaign setup, keyword research, bid management, performance tracking, performance reporting, keyword optimisation, recommendation management, ad targeting and retargeting, landing page optimisation, extension creation and management, asset linking and integration, budget allocation and management, and ad quality management.

 

Campaign goals and objectives

All PPC advertising campaigns shall be designed to deliver the client’s goals and objectives and the client will be encouraged to communicate these goals and objectives to Mut-Con. The client is also encouraged to discuss their key performance indicators that will form the basis for the evaluation of Mut-Con’s performance as well as the basis for reporting to the client.

 

Reporting

Unless where previously discussed with Mut-Con, Mut-Con will provide the client with a detailed report of their ad campaign performance on a monthly basis. The client will also have the opportunity to get on a one-hour call with their ad account manager and discuss the performance of the campaign. This call can be used to evaluate Mut-Con’s performance and give feedback. Each ad account is reported on individually, and multiple ad accounts from the same client will be reported on separately and will each have their own call allowance.

 

Communication

The client shall have the right to unlimited access within the working hours of Mut-Con to an account manager for the duration of their PPC advertising campaign. The client shall be able to contact their account manager within working hours (nine to five), on any working day (Mon – Fri), provided said day is not a holiday recognised by the Republic of South Africa.

 

Terms of payment

Unless otherwise agreed with Mut-Con, all PPC advertising projects are paid for in full at the beginning of each monthly period of the contract. Should the project fee not be paid five days from the time an invoice is due, Mut-Con will seize its management of the project and will not perform any of the duties required of them under the contract.

 

Refund Policy

Subject to the meeting of specific criteria, the client shall be subject to full or partial refund on their project. The following shall generally apply to  refunds:

  1. All work done in service of a PPC advertising campaign but does not form part of the campaign itself, e.g. website upgrades paid for separately from the campaign will not be refundable even when the campaign is discontinued.
  2. The client shall not agree to an invoice, pay the amount on their invoice and then request a refund. In such cases, it is at the discretion of Mut-Con to agree to the refund, the client shall otherwise be compelled to complete their project.
  3. The client shall not use any underhanded tactic to delay the completion of their project for the purposes of compelling Mut-Con to refund them on the grounds of not meeting deadlines.
  4. The client is entitled to a month-on-month review of Mut-Con’s performance on their digital campaigns and retains the right to cancel a campaign on the grounds of non-performance. Should the client wish to seek a refund on the grounds of gross incompetence, only the previous period shall be eligible for review. It is therefore advised that the client have certainty of their desire to continue with Mut-Con’s services before proceeding to a new month. Each month’s paid invoice will imply the client’s satisfaction with Mut-Con’s work in the previous month.

 

Sample and Trial Periods

Unless previously discussed with Mut-Con, Mut-Con does not offer sample or trial periods. Mut-Con will only commence work when all due fees are paid to Mut-Con, and an agreement of good faith will at that point commence between Mut-Con and the client.

 

Campaign Ownership

All assets, accounts and campaigns created on behalf of the client by Mut-Con remain the property of the client. Mut-Con will require full access to the client’s resources necessary to set up and manage their ad accounts, but will not assume ownership of any of the client’s assets. At the end of the working relationship between Mut-Con and the client, the client can make a request to their ad manager to have all the assets created under the contract transferred to them. It is the client’s responsibility to remove Mut-Con and all their representatives from any assets they have been granted access to under the project. 

 

Intellectual Property

All assets created as part of PPC advertising campaigns will become the intellectual property of the client. Mut-Con will not reuse these assets for other client’s campaigns and will not, without express permission from the client, share these assets with parties outside of the client’s organisation.
